Anthropic IPO: 7 people control 50.1% voting power via Founder LLC
Anthropic's initial public offering documentation reveals that seven individuals will command the majority voting power within the company.
The filing, submitted on Monday to Nasdaq under the ticker symbol ANT, permits the public to purchase ANT shares and cast one vote per share. Nevertheless, six other people, alongside CEO Dario Amodei, will retain 50.1% of the voting influence.
The prospectus details that seven people constitute the members of Founder LLC. This entity will hold a sole share of Anthropic's Class F common stock at the IPO. This Class F stock holds 50.1% of the vote on general stockholder issues.
The individuals named as members of Founder LLC are Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish, and Christopher Olah.
While Reuters mentioned Founder LLC's existence in September, the prospectus formally confirms its control over majority voting. Furthermore, a minimum of four people could technically govern the voting power, as the majority of Founder LLC's members make the choice.
Anthropic states that it views these seven individuals as being "distinctly equipped to be stewards of our mission." Public shareholders must accept this assertion, as their voting efforts cannot alter this structure.
This structure mirrors patterns where concentrated ownership dictates corporate governance, a dynamic relevant to how control is distributed across decentralized systems.
